Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the websites, applications, and services (collectively, "Services") provided by Aegiris Systems ("we," "us," "our"), a company based in Buffalo, New York. These Terms also apply to services operating under the Aegiris Works brand.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Accounts

Some Services require you to create an account. When you do:

• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate and complete information and keep it updated.
• You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period with prior notice.

We reserve the right to investigate and take appropriate action, including suspension or termination, for violations of this section.

5. Your Content

We do not claim ownership of Your Content. We do not use Your Content for purposes unrelated to providing the Services without your explicit consent.

You are responsible for ensuring that Your Content does not violate any third-party rights or applicable laws.

The Services, including all software, design, branding, documentation, and other materials, are owned by Aegiris Systems and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.

The Aegiris name, Aegiris Systems name, Aegiris Works name, and associated logos are trademarks of Aegiris Systems. You may not use them without our prior written consent.

7. Third-Party Services

Our Services may integrate with or link to third-party services (such as Google for authentication). Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

8. Payment and Subscriptions

Certain Services may be offered on a paid subscription basis. If you subscribe to a paid Service:

• You agree to pay the fees associated with your chosen plan.
• Fees are billed in advance on a monthly or annual basis, depending on your plan.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We do not offer refunds for partial billing periods unless required by law.
• We reserve the right to change pricing with 30 days' notice.

9. Service Availability

We strive to maintain reliable Services, but we do not guarantee uninterrupted or error-free operation. We may temporarily suspend access for maintenance, updates, or security reasons. We will provide reasonable notice when possible.

We are not liable for any losses resulting from service interruptions or downtime.

10. Limitation of Liability

To the maximum extent permitted by law, Aegiris Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of our Services.

Our total liability for any claim related to our Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify and hold harmless Aegiris Systems and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Services or your violation of these Terms.

13. Termination

You may stop using our Services at any time. You may delete your account by contacting [email protected].

We may suspend or terminate your access to the Services if you violate these Terms, with notice when reasonably possible. Upon termination, your right to use the Services ceases immediately. We will make your data available for export for 30 days following termination.

14. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Erie County, New York.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice in our Services at least 30 days before the changes take effect. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
